Terms of Service

1. The Service

ListingForge provides software that helps real estate professionals generate marketing content — including MLS descriptions, emails, text messages, social media posts, and listing presentations — from property and profile data, using artificial intelligence.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate account information and to keep it current. You are responsible for safeguarding your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

3. Subscriptions, billing, and trials

• The Service is offered through plans (including Starter, Pro, and Team). Paid plans are billed in advance on a recurring basis through our payment processor, Stripe.
• Free trials, where offered, automatically convert to a paid subscription at the end of the trial unless canceled beforehand.
• Subscriptions renew automatically until canceled. You may cancel at any time from your account; cancellation takes effect at the end of the current billing period, and you retain access until then.
• Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods.
• Team plans.The team administrator is responsible for billing and for managing team membership. Team members receive access through the team’s subscription and do not control billing.
• We may change our prices; we will provide reasonable notice before changes take effect.

4. Acceptable use

You agree not to:

• Use the Service for any unlawful, fraudulent, or deceptive purpose.
• Generate or distribute content that violates fair housing, advertising, anti-spam, or other applicable laws and regulations.
• Infringe the intellectual property or privacy rights of others.
• Attempt to disrupt, reverse engineer, scrape, or gain unauthorized access to the Service or its underlying systems.
• Resell or sublicense the Service without our written permission.

5. Your content

You retain ownership of the data and materials you submit, including listing details and photos (“Your Content”). You grant us a limited license to host, process, and transmit Your Content as necessary to operate and provide the Service, including sending it to our AI provider to generate output. You represent that you have the rights to submit Your Content and that it does not violate any law or third-party right.

6. AI-generated content

The Service uses AI to generate content based on your inputs. AI output may be inaccurate, incomplete, or non-compliant with applicable rules. You are solely responsible for reviewing, editing, and verifying all generated content before using or publishing it, including compliance with MLS rules, fair housing laws, advertising regulations, and email/SMS consent laws (such as CAN-SPAM and the TCPA). As the licensed professional, you are responsible for the accuracy and legality of any content you distribute. We make no warranty that generated content is accurate, compliant, or fit for any particular purpose.

7. Third-party services

The Service relies on third-party providers (including Google Firebase, Anthropic, Stripe, SendGrid, and Vercel) and may link to or integrate with third-party services. We are not responsible for third-party services, and your use of them may be subject to their own terms.

8. Intellectual property

The Service, including its software, design, and branding, is owned by us and protected by intellectual property laws. These Terms do not grant you any rights in our intellectual property except the limited right to use the Service as permitted here.

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Upon termination, your right to use the Service ends; certain provisions survive termination, including ownership, disclaimers, and limitations of liability.

10. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

11. Limitation of liability

To the maximum extent permitted by law, ListingForge and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless ListingForge from any claims, damages, or expenses arising out of Your Content, your use of the Service, your distribution of generated content, or your violation of these Terms or applicable law.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a revised “Last updated” date, and your continued use of the Service after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of Nevada, United States, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the courts located in Clark County, Nevada.
